PAID ADVERTISEMENT — COMPENSATION DISCLOSURE UNDER SECTION 17(b) OF THE SECURITIES ACT OF 1933

PAID ADVERTISEMENT AND MATERIAL CONFLICT OF INTEREST

This is a paid advertisement for AIB Data Centers Inc. (NYSE American: AIB) (“AIB” or the “Company”). It has been prepared and/or distributed as part of a paid investor awareness, advertising and marketing campaign. MZ Digital, LLC (“MZD”) has been retained and compensated by AIB to provide investor awareness, advertising, marketing and related services. Because MZD and other parties involved in the preparation and distribution of this advertisement are being compensated in connection with the campaign, they have a financial interest in promoting awareness of AIB. COMPENSATION, SOURCE AND AMOUNT

AIB has paid MZD $540,000 in cash and has issued 200,000 restricted shares of AIB common stock to Kingdom Building, Inc. (“Kingdom Building”), an entity under common ownership and control with MZD, as compensation in connection with investor awareness, advertising and marketing services. The applicable digital advertising campaign is scheduled to run for six weeks, from August 20, 2026 through September 30, 2026, and includes this advertisement. From the cash compensation received from AIB, MZD has paid or will pay $100,000 to Warm Water Media, LLC (“Warm Water Media”) in connection with the management and execution of the campaign. From that amount, Warm Water Media has engaged or will engage Automated Assets, LLC for $20,000 and Ramp Media, LLC for $50,000 to provide media buying and related services. Warm Water Media will retain the remaining $30,000 for campaign management and additional media placements. From the cash compensation Goldwyn Media LLC (“Goldwyn Media”) has received forty thousand dollars (USD $40,000) from MZ Digital LLC in connection with investor awareness, marketing, and promotional services relating to the Company. From the cash compensation received from AIB, MZD has paid $7,500 in cash to Evergreen Media Ventures LLC (“Evergreen Media”) in connection with investor awareness, advertising, marketing and/or distribution services relating to AIB. The $7,500 payment is included within the $540,000 in cash compensation paid by AIB to MZD and is not additional compensation from AIB; AIB is the ultimate source of such compensation. All cash amounts described above are paid from, and included within, the $540,000 paid by AIB to MZD and are not additional compensation from AIB. AIB is the ultimate source of the compensation for this campaign. If a publisher, newsletter, website, influencer or other media outlet receives compensation specifically for publishing or distributing this advertisement, the applicable compensation disclosure should identify that party and the amount paid to it, as required.

SHARE OWNERSHIP AND AFFILIATED ENTITY DISCLOSURE

Warm Water Media, Automated Assets and Ramp Media, and, to the knowledge of MZD, their respective owners, officers and employees, do not beneficially own any shares of AIB. Kingdom Building, an entity under common ownership and control with MZD, currently owns 60,975 unrestricted shares of AIB common stock. Kingdom Building also holds 200,000 restricted shares of AIB common stock issued pursuant to the consulting agreement between AIB and MZD as equity compensation in connection with services provided by MZD. Kingdom Building was designated by MZD to receive the 200,000 shares because Kingdom Building is an S corporation owned and controlled by MZD’s principal owner. Kingdom Building was not separately retained by AIB to provide the services giving rise to this equity compensation. Accordingly, Kingdom Building currently holds an aggregate of 260,975 shares of AIB common stock, consisting of 60,975 unrestricted shares and 200,000 restricted shares. The 200,000 restricted shares constitute compensation in connection with MZD’s services to AIB and are disclosed as compensation for purposes of Section 17(b) of the Securities Act of 1933.

NO-TRADING REPRESENTATION

MZD, Kingdom Building, Warm Water Media, Automated Assets and Ramp Media, and, to the knowledge of MZD, their respective owners, officers and employees, have agreed that they will not purchase, sell, transfer, hedge, pledge, short, or otherwise acquire or dispose of any AIB securities, directly or indirectly, during the campaign period from August 20, 2026 through September 30, 2026.

This restriction includes the 60,975 unrestricted shares and the 200,000 restricted shares of AIB common stock currently held by Kingdom Building.
